Subject: Black Book Status
As you are aware, in late November the Board of Directors postponed EMP's annual meeting and elections normally scheduled for mid December. This action was taken by the Board in anticipation of receiving the Black Book (the official offering plan accepted by the New York State's Attorney General.)
EMP's attorney had informed us in November that acceptance of the red herring by the AG was imminent. Our attorney had indicated that information obtained from the AG's office was that the Red Herring and the Black Book would be accepted and issued within a matter of days or weeks at the most. We relied on the information made available to us by our attorney.
It is now several weeks later and our attorney has the same information from the AG's office. The information is that the Black Book will be issued imminently. It is now eight weeks since we heard the original story and we cannot obtain any commitment from the AG.
Both the Board and our attorney have no ability to speed up this process. It is solely up to the AG's office. We have asked our attorney to try to expedite the process. He has not been able to obtain a firm commitment from the AG's office on when they will accept the Black Book.
The Board postponed the election in the expectation that EMP shareholders would discuss the merits of the black book and vote on privatization without being distracted by voting for Board members. Obviously this was not to be.
The Board has decided that the vote for Board members should proceed. We cannot continue to hold our breath waiting for the AG to accept the Black Book. The business of EMP must continue.
The Board hopes all shareholders understand our intentions. Shareholders will shortly receive formal notice of the Annual Meeting, Candidates Night and Election Day which will be held on February! 1, 12 and 13.

Even if we earn tar above middle-income level wages many of us have been allowed to simply pay a "ttjrcharfle" on our maintenance for years. Yet, one of HPD DHS'a regulations states unequivocally, that after 3 year* of earning high income that requires a full surcharge, the family must leave/ he evicted if they refuse to move out
It appears that they are all working together to have cooperators evicted from under-utilized apartments or evicted if the cooperator pays a surcharge.
IT SEEMS CLEAR TO US THAT ANNE CORRE WAS WORKING ON BEHALF OF THE ENTIRE MLO STEERING COMMITTEE.
They are only now denying that Anne Corre speaks for them because they got caught.
THE ANTIS WANT YOU EVICTED. DON'T TRUST THEM WITH YOUR FUTURE.

We all agree that individual cooperators can express, publicly or privately, any opinion or questions they have about the transference of EMP from a Mitchell-Lama to a private cooperative. According to the October "New EMP News," Anne Corre has done that and has expressed her own views to HPD.
Although the "News" lumps Anne Corre with other pro-Mitchell-Lama cooperators, she does not represent or speak for our organization, the EMP-MLO. As we have often revealed, the organization's Steering Committee is opposed to any actions that would jeopardize the security of resident shareholders. We have not and wilt not approve, condone, encourage or applaud any action that could result in a current resident shareholder being forced to leave EMP or move "down" to a smaller apartment. This past summer, we hosted an open meeting and also provided you with a letter from HPD to bring you HPD's assurances that residents who entered under the usual guidelines of income limitation and family size would never be and have never been evicted from Mitchell-Lama housing or forced to down-size their home.
The EMP-MLO has one task only, and that is to infdfm you of what the privatization proponents have not told you: the advantages of staying in the Mitchell-Lama program if you intend to continue living here. The Board and the Study Group are denying the high cost of living here as a private cooperative, and they are concealing that prospect behind large-print insults directed toward pro-Mitchell- Lama cooperators.
If you want to know what Anne Corre wrote to HPD and why, you'll have to ask her personally. Meanwhile, be assured that actions such as those ascribed to Anne Corre by the Study Group do not represent the goals and standards of the EMP-MLO. We denounce such actions - by anyone - because they are inconsistent with our principles.

DEFLECTS THE BLAME FOR THE SAD STATE OF
AFFAIRS HERE AT EMP.
Surely, they know that there are empty apartments on almost every floor. By keeping these apartments vacant ("warehousing"), we are losing maintenance payments.
Lack of maintenance dollars means less money to operate with.
EMP is falling apart around us. However, the EMP Study Group profiteers don't care—the leaders are rich and many of their followers have no intention of staying here!
We who want to stay here will be left "holding the bag" with huge mortgages and major repair bills. The EMP Study Group profiteer leaders can pay whatever huge assessments and maintenance increases will be required and many followers will "hit the road" with their windfall!!
LET'S DEAL WITH THIS FACT:
In the last 20 years, HPD has only mandated an occupant who is (*) receiving a "deep subsidy" ie: Section 8, Rap, etc to move to a smaller apartment based upon the rules of the subsidy program. As long as household is paying the rent HPD does not mandate a transfer". (Available via filing for under the Freedom of Information Act).
*There is a typo in my previous just-sent e-mail today. Only recipients of a "deep" subsidy are mandated to move to a smaller •, apartment based upon compliance with the subsidy program. This (also) does not effect SCRIE recipients = o us = " Sony for the confusion. Smith, Elaine

THE BOARD MEETING MINUTES FOR THE MONTH OF JUNE
Alan Rosof moved to accept the minutes of the June 12, 2007 board meeting. The Board
approved the minutes by telephone vote prior to the meeting.
MANAGER'S REPORT
• R & R Restoration installed a new roof (EPDM membrane) on the concrete deck of the BC
building cooling tower bulkhead roof, as previously approved.
• DJM Contracting finished the parapet brick wall on the 2" floor of the A building.
• Ace Pump Corp. repaired and installed the sewer ejector pump in the G building
• Clark & Wilkins repaired and installed the fence and concrete on 23" and First Avenue
which was damaged from the taxi accident.
• Repairs to the garage ramp and A building second floor plaza deck is scheduled to begin
September 24,2007.
• The assessment approved by HUD at $2.8519 per share is currently being billed in three
monthly installments (August 1, 2007, September 1, 2007, and October 1, 2007).
• HUD approved an immediate maintenance increase of 26.5% on August 9, 2007. The Board
voted unanimously to limit this increase to 20% and to delay it until November 1, 2007.
SUPERINTENDENT'S REPORT:
• Service calls for; June 2007: 299, July 2007: 251, August 2007: 335
• The staff repaired trip hazards, cracks, and holes on the plaza and 23'd street as required in
HDC's report.
• The staff and contractor prepared an access door to the cooling tower, and prepared and
installed an OSHA approved ladder extension, as previously approved.
• The staff repaired the small plaza wall and roof located in the plaza over the mechanical
room to avoid continuous leaks into the mechanical room.
• The staff painted the four planters on 23th street with brown glossy anti-graffiti paint.
• The staff cleaned the graffiti from the brick wall of the H building on the 25' street side and
painted 125'' x 10' of the wall with anti-graffiti paint.
• The staff replaced a section of the roof drain riser, located in the w'-all ofF-13A, that was
cracked and leaking into Washington Mutual Bank.
• The staff changed faulty plumbing in approximately 12 apartments.
NEW BUSINESS
• Power Concepts will submit a proposal to convert its existing report into an Energy-
Reduction Plan which is required for enrollment in the new Multifamily Performance
Program.
The next board meeting is scheduled for October 9, 2007, at 7:00 p.m. in the D Community

THE BOARD MEETING MINUTES FOR THE MONTH OF JUNE
Alan Rosof moved to accept the minutes of the June 12, 2007 board meeting. The Board
approved the minutes by telephone vote prior to the meeting.
MANAGER'S REPORT
• R & R Restoration installed a new roof (EPDM membrane) on the concrete deck of the BC
building cooling tower bulkhead roof, as previously approved.
• DJM Contracting finished the parapet brick wall on the 2" floor of the A building.
• Ace Pump Corp. repaired and installed the sewer ejector pump in the G building
